Service Agreement

This legal service agreement governs the relationship between TIQTAC, a remote staffing company, and a business seeking to outsource certain staffing needs.

1. STAFFING NEEDS

TIQTAC will provide __________ with a qualified staff member to fullfil __________’s specific staffing needs for a period of _____ months. If at any time __________ is not completely satisfied with the staff member provided by TIQTAC, __________ may terminate this agreement immediately upon written notice to TIQTAC.

3. COMPENSATION AND BENEFITS

The staff member provided by TIQTAC will be compensated at the rate of _____ per hour, payable in arrears on the ___ day of each month. In addition, the staff member will be entitled to all customary benefits offered by TIQTAC to its employees, including but not limited to health insurance, vacation time, and 401(k) contributions

4. CONFIDENTIALITY

The staff member provided by TIQTAC will maintain the confidentiality of all confidential information obtained during his or her employment with __________. Such information shall not be disclosed to any third party without the express written consent of __________.

5. TERMINATION

This agreement may be terminated by either party for any reason or no reason upon _____ days’ written notice to the other party.

6. MISCELLANEOUS

This agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and understandings. This agreement may not be amended or modified except in writing and signed by both parties. This agreement shall be binding upon and inure to the benefit of the parties, their respective successors, and permitted assigns.

7. GOVERNING LAW

This agreement shall be governed by the laws of the State of __________ without regard to its conflicts of law provisions.

8. ARBITRATION

Any dispute arising out of or relating to this agreement shall be finally settled by binding arbitration in __________ in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitrator shall have the power to award any remedy or relief that a court of competent jurisdiction could order or grant, including but not limited to attorney’s fees and costs.
